What will become expensive later is decided in the formation phase. We clarify legal form, shareholdings and intangible assets in good time.
Before the first invoice is issued, the choice of legal form, the articles of association and the formation documents are on the agenda, along with managing director’s service agreements and shareholdings, registration with the tax office and the protection of trade mark, name and ideas.
The idea becomes a company. First financing rounds, shareholdings and investment agreements come into focus. At the same time, the task is to set up structures that make sense from a tax perspective, prepare employee participation schemes and put contracts with customers, service providers and business partners on a solid footing.
The company is growing: with new employees, rising revenues and often further capital requirements. Employment contracts, participation models and financing rounds become just as relevant as tax planning, ongoing tax obligations and robust contractual structures for day-to-day business.
As the company grows, structures and processes become more complex. Further financing rounds, new shareholders, reorganisations or expansion into new markets raise company law and tax questions. At the same time, compliance, employment law and forward-looking tax structuring become more important.
Once the company is established, long-term structures, shareholding relationships and possible changes in the group of shareholders come to the fore. In the event of a sale or succession, we support the legal and tax preparation, the transaction and the structuring of the exit.
